Terms of Service

1. Agreement to Terms

By accessing or using the IronValue platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all visitors, users, and others who access the Service.

2. Description of Service

IronValue provides market-based equipment valuation estimates derived from aggregated auction data ("Valuations"). The Service aggregates completed sale data from third-party auction platforms including Ritchie Bros., IronPlanet, and Purple Wave to generate comparable-sales-based estimates of heavy equipment market value.

IronValue Valuations are not certified appraisals. Valuations generated by the Service are estimates for informational purposes only and should not be used as the sole basis for:

  • Insurance coverage determinations or claims
  • Secured lending or collateral valuations
  • Legal proceedings or disputes
  • Regulatory filings or tax purposes

For certified appraisals, consult an appraiser accredited by the American Society of Appraisers (ASA) or the Association of Machinery and Equipment Appraisers (AMEA).

3. Account Terms

To access the full Service, you must create an account. You are responsible for:

  • Maintaining the security of your account credentials
  • All activity that occurs under your account
  • Ensuring your account information is accurate and current
  • Notifying us immediately of any unauthorized access

You may not share account credentials with persons outside your organization, or use a single account for multiple unaffiliated businesses. Each subscription covers one legal entity.

4. Subscription and Billing

Paid subscriptions are billed monthly or annually as selected at signup. By providing payment information, you authorize IronValue to charge your payment method for recurring subscription fees.

  • Monthly subscriptions: Billed on the same day each month. May be cancelled at any time; access continues through the end of the paid billing period.
  • Annual subscriptions: Billed upfront for the full year. Refundable within 30 days of initial payment. After 30 days, no refunds are issued, but you may cancel to prevent renewal.
  • Free trial: New accounts receive 14 days of Pro-level access at no charge. No payment information is required during the trial period.
  • Price changes: We will provide 30 days notice before any price increase. Continued use after the effective date constitutes acceptance.

5. Acceptable Use

You agree not to:

  • Resell, sublicense, or redistribute IronValue data or Valuation results to third parties without prior written consent
  • Use automated tools (bots, scrapers) to extract data from the Service beyond what is permitted by your plan's API access
  • Attempt to circumvent usage limits, access controls, or subscription restrictions
  • Use the Service to compete with IronValue by building a competing valuation product
  • Reverse engineer, decompile, or attempt to derive the valuation algorithm or underlying data
  • Use the Service for any unlawful purpose

6. Auction Data Attribution

Auction result data displayed in the Service is sourced from publicly available completed auction records published by Ritchie Bros. Auctioneers, IronPlanet, and Purple Wave. IronValue does not claim ownership of this underlying auction data. This data is used in accordance with applicable terms of those platforms and applicable law.

7. Intellectual Property

The IronValue platform, valuation algorithm, user interface, and all associated software are the exclusive property of IronValue, Inc. Nothing in these Terms grants you any ownership rights in the platform or its methodology.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. IRONVALUE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IRONVALUE DOES NOT WARRANT THAT VALUATIONS ARE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IRONVALUE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, ARISING FROM YOUR USE OF THE SERVICE OR RELIANCE ON ANY VALUATION, EVEN IF IRONVALUE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IRONVALUE'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Governing Law

These Terms are governed by the laws of the State of Missouri, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Jackson County, Missouri.

11. Changes to Terms

IronValue reserves the right to modify these Terms at any time. We will notify users of material changes via email and will post updated Terms with a revised "Last updated" date. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
